1. Agreement to Terms

By accessing or using StockSpatial.com (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Platform.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

3. Account Registration

You must create an account to upload, purchase, or sell Content on the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration.

4. Acceptable Use

You agree NOT to:

• Upload Content that you do not have the right to make available
• Upload Content that infringes any intellectual property rights
• Upload Content that is unlawful, harmful, or objectionable
• Use automated means to access the Platform without consent
• Circumvent any security features of the Platform
• Resell or redistribute access to the Platform

5. Content and Intellectual Property

You retain ownership of any Content you upload. By uploading Content, you grant StockSpatial a non-exclusive, worldwide, royalty-free license to host, process, display, and distribute your Content solely for operating the Platform and facilitating sales.

We respect intellectual property rights. If you believe Content infringes your copyright, please contact us with a DMCA takedown notice.

6. Purchases and Payments

All prices are in USD. Payments are processed through Stripe. All sales are final due to the digital nature of Content, except in cases of technical defects, material misrepresentation, or duplicate purchases. Refund requests must be submitted within 30 days.

7. Contributor Payouts

Contributors earn a revenue share on each sale (50% non-exclusive, 70% exclusive). Payouts are processed weekly via Stripe Connect with a $50 minimum threshold. Contributors are responsible for all applicable taxes.

8. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

STOCKSPATIAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100.

10. Indemnification

You agree to indemnify and hold harmless StockSpatial from any claims arising from your use of the Platform, violation of these Terms, or Content you upload.

11. Termination

We may suspend or terminate your account at any time. You may close your account by contacting us. Upon termination, your right to use the Platform ceases immediately.

12. Governing Law

These Terms are governed by the laws of the applicable jurisdiction. Disputes shall be resolved through binding arbitration on an individual basis (class action waiver).
