Contributor Agreement

This Contributor Agreement governs the terms under which you upload, submit, and license Content through StockSpatial. By uploading Content, you agree to be bound by this Agreement.

1. Content Submission

All Content is subject to review and approval before being made available for sale. You are responsible for providing accurate metadata. We reserve the right to reject any Content for any reason.

2. Your Representations

By uploading Content, you represent and warrant that:

• You are the sole creator and owner of the Content, or you have obtained all necessary rights and permissions
• The Content does not infringe any third-party intellectual property rights
• You have valid model releases for all identifiable persons
• You have valid property releases for identifiable private property or trademarks
• The Content does not contain illegal, obscene, defamatory, or harmful material
• The Content does not violate any applicable laws or regulations

3. License Grant to StockSpatial

By uploading Content, you grant StockSpatial a non-exclusive, worldwide, royalty-free, sublicensable license to:

• Host, store, process, and serve the Content and derivatives
• Generate previews, thumbnails, and watermarked versions
• Display Content for marketing and promotional purposes
• Sublicense the Content to Buyers under our license terms

This license remains in effect while your Content is listed. Licenses already granted to Buyers are irrevocable.

4. Exclusivity

Non-Exclusive (Default): You may sell the same Content on other platforms.

Exclusive: If you opt in, you agree not to sell or distribute that Content through any other channel. Exclusive Content receives a higher revenue share.

5. Revenue Share

Net Revenue = gross sale price minus Stripe processing fees (~2.9% + $0.30).

7. Payouts

Payouts are processed weekly via Stripe Connect with a $50 minimum threshold. You must complete Stripe Connect identity verification. You are solely responsible for all applicable taxes on your earnings.

8. Content Removal

You may request removal of your Content at any time (processed within 7 business days). We may remove Content that violates this Agreement. Existing Buyer licenses survive removal.

9. Indemnification

You agree to indemnify StockSpatial against any claims arising from breach of your representations, IP infringement claims, or violation of applicable law.

10. Termination

Either party may terminate with 30 days' written notice. Upon termination, Content is removed within 30 days and pending payouts processed within 60 days. Previously granted Buyer licenses survive.
